Technology Mergers and Acquisitions

Andrew Wilmot, BDR Customer Management

Early in 2005, we talked to a number of companies about assisting us with our three year planning process. Westchester Associates were selected to advise us because of their knowledge of the high tech sector, their credibility and their commitment to partnering with us. As part of our planning process with Westchester, we were introduced to over 12 companies with the result that we entered serious acquisition discussions with 3 of them - all whom were network contacts of Westchester. We worked closely with Westchester and we found them able to give us broadly based business advice, perform as an excellent coach and sounding board and were very persistent in keeping our development plan high on our agenda, despite the day-to-day business challenges.

Westchester managed and led the conversations with acquisition partners, and when we selected our preferred partner, Grass Roots, they were able to drive a programme of complex negotiations whilst the management team worked on collaboration and integration issues. The level of commitment, drive and enthusiasm for the deal was unwavering. Westchester were looking for contract clarifications right up to and including the day of contract completion. When things were moving fast Westchester were able to supplement professional advice in areas such as Earnout accounting and deal structure. It was a delight to work with Westchester.

I am pleased we decided to use the services of Westchester and truly enjoyed working with them. Thank you for all the hard work and continuous effort over a long period of time, we could not have done it without you.
